Terms of Service

Please read these Terms of Service ("Terms") carefully before accessing or using ScribeMate. These Terms constitute a legally binding agreement between you and ScribeMate, Inc. ("ScribeMate", "we", "our", or "us"). By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use the Service. By using the Service, you represent and warrant that you meet the applicable age requirement, that you have not been previously suspended or removed from the Service, and that your use of the Service complies with all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

2. Description of Service

ScribeMate is an AI-powered platform that provides real-time speech-to-text transcription, instant translation across 50+ languages, AI-generated summaries and key points, intelligent search across sessions, audio file import and processing, and data export in multiple formats. The Service is available through our web application and will be available on Android and iOS mobile applications. We offer both a free tier with limited usage and paid subscription plans (Pro and Enterprise) with expanded features and higher usage limits. We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Registration

To access most features of the Service, you must create an account by providing accurate, current, and complete information including your name, email address, and a secure password. You may also sign in using third-party OAuth providers (Google, GitHub).

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) provide accurate and truthful registration information; (b) maintain and promptly update your account information; (c) immediately notify us of any unauthorized use of your account or any other security breach; and (d) not share your account credentials with any third party.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or have been inactive for an extended period.

4. License and Access

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

You may not: (a) copy, modify, distribute, sell, or lease any part of the Service; (b) reverse engineer, decompile, or disassemble the Service or attempt to extract the source code; (c) use any automated system, including bots, scrapers, or crawlers, to access the Service in a manner that exceeds reasonable human usage or that sends more request messages to our servers than a human could reasonably produce using a conventional web browser; (d) circumvent, disable, or otherwise interfere with any security, rate-limiting, or usage-restriction features of the Service; (e) sublicense, resell, or commercially exploit the Service without our prior written consent; or (f) exceed the usage limits associated with your subscription plan.

5. User Content

"User Content" means all content that you upload, submit, or generate through the Service, including audio recordings, transcriptions, translations, summaries, notes, and any other materials.

(a) Ownership: You retain all ownership rights in your User Content. ScribeMate does not claim any ownership of your User Content.

(b) License to ScribeMate: By using the Service, you grant ScribeMate a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transfer, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license ends when you delete your User Content or your account, except for content that has been shared with other users or that we are required to retain for legal purposes.

(c) Audio Recordings: You are solely responsible for ensuring that you have all necessary rights, permissions, and consents to record, transcribe, and process any audio through the Service. Many jurisdictions require the consent of all parties to a conversation before recording. You must comply with all applicable laws regarding audio recording, including but not limited to wiretapping, eavesdropping, and consent laws. ScribeMate is not responsible for your failure to obtain required consents.

(d) Deletion: When you delete User Content, it is removed from active systems. For cloud-synced content, deletion may take up to 30 days to propagate through all backup systems. Local data stored on your device is managed by your device and is not controlled by ScribeMate.

(e) AI-Generated Content: Transcriptions, translations, and summaries generated by the Service are provided on an "as-is" basis. AI-generated outputs may contain errors, inaccuracies, or omissions. You are responsible for reviewing and verifying all AI-generated content before relying on it for any purpose.

6. Acceptable Use Policy

You agree not to use the Service to:

(a) Violate any applicable local, state, national, or international law or regulation; (b) Record conversations without the knowledge and consent of all parties where required by law; (c) Infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any third party; (d) Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (e) Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity; (f) Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service; (g) Use the Service to develop a competing product or service, or to benchmark the Service for competitive purposes; (h) Upload or transmit any viruses, malware, or other malicious code; (i) Interfere with or disrupt the integrity or performance of the Service; (j) Sell, resell, or commercially exploit access to the Service without our prior written consent; or (k) Encourage or assist any other person in doing any of the foregoing.

7. Payment, Subscriptions, and Refunds

(a) Free Tier: The free tier provides limited access to the Service at no charge. Usage limits for the free tier are specified on our pricing page and may be changed at any time.

(b) Paid Subscriptions: Paid plans (Pro and Enterprise) are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method on file for the applicable fees.

(c) Auto-Renewal: Subscriptions automatically renew for successive periods equal to the initial subscription period unless you cancel before the end of the current billing period. You may cancel your subscription at any time from your account Settings.

(d) Price Changes: We may change our subscription fees upon 30 days' prior notice. Price changes will take effect at the start of the next billing period following the notice. Your continued use of the Service after a price change constitutes acceptance of the new price.

(e) Refunds: If you cancel a subscription, you will retain access to paid features until the end of your current billing period. We generally do not provide refunds for partial billing periods. Refund requests for exceptional circumstances may be submitted to support@scribemate.app and will be reviewed on a case-by-case basis.

(f) Delinquent Accounts: If payment fails or your account becomes delinquent, we may suspend or downgrade your account to the free tier. We may charge reasonable fees to recover collection costs.

8. Intellectual Property

The Service, including its underlying software, design, text, graphics, logos, icons, user interface, features, and all related intellectual property rights, are and shall remain the exclusive property of ScribeMate or its licensors. These Terms do not grant you any rights to use ScribeMate's trademarks, logos, domain names, or other brand features.

All rights not expressly granted in these Terms are reserved by ScribeMate. You acknowledge that the Service contains proprietary and confidential information protected by applicable intellectual property laws.

9. Third-Party Services

The Service integrates with and relies on third-party services, including but not limited to speech recognition providers (Azure Cognitive Services, Google Cloud Speech-to-Text), translation services, AI/LLM providers (OpenAI, Anthropic), authentication providers (Google OAuth, GitHub OAuth), and payment processing (Creem).

These third-party services are governed by their own terms of service and privacy policies. We are not responsible for the practices, content, or availability of these third-party services. Your use of any third-party service through or in connection with ScribeMate is at your own risk.

If any third-party service becomes unavailable or changes its terms, we may modify, replace, or discontinue the affected features of the Service without liability.

10. Disclaimers; No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SCRIBEMATE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) TRANSCRIPTIONS, TRANSLATIONS, OR AI-GENERATED SUMMARIES WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

AI-GENERATED OUTPUTS, INCLUDING TRANSCRIPTIONS, TRANSLATIONS, AND SUMMARIES, MAY CONTAIN ERRORS, INACCURACIES, OMISSIONS, OR BIASED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND EVALUATING ALL AI-GENERATED CONTENT BEFORE RELYING ON IT FOR ANY PURPOSE. SCRIBEMATE IS NOT LIABLE FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON AI-GENERATED CONTENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCRIBEMATE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SCRIBEMATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO SCRIBEMATE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SCRIBEMATE.

12. Indemnification

You agree to defend, indemnify, and hold harmless ScribeMate, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or recording consent right; (d) any claim that your User Content caused damage to a third party; or (e) your recording of any person without their consent where such consent is required by law.

13. Term and Termination

(a) Term: These Terms are effective from the date you first access or use the Service and continue until terminated.

(b) Termination by You: You may terminate your account at any time by contacting us at support@scribemate.app or by deleting your account through Settings. We recommend exporting your data before account termination.

(c) Termination by ScribeMate: We may suspend or terminate your account and access to the Service immediately, without prior notice, if we reasonably believe that: you have violated these Terms; your conduct is harmful to other users, third parties, or ScribeMate; or continued provision of the Service to you is no longer commercially viable.

(d) Effect of Termination: Upon termination, your right to access and use the Service ceases immediately. We may delete your account data in accordance with our data retention practices. Sections of these Terms that by their nature should survive termination will survive, including Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If the dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration administered by a recognized arbitration association under its applicable rules, conducted in the English language.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 30 days before the changes take effect. The updated Terms will be posted on our website with a revised "Last updated" date.

Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

Disputes arising before a change to these Terms will be governed by the version of the Terms that was in effect at the time the dispute arose.

16. General Provisions

(a) Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and ScribeMate regarding the Service and supersede all prior agreements and understandings.

(b) Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

(c) No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

(d) Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

(e) Electronic Communications: By using the Service, you consent to receiving communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

(f) No Support Obligation: We are not obligated to provide technical support for the Service, but if we choose to provide support, it will be subject to our published support policies.
